1. THE RACE RETRO AUTOS MARKETPLACE

Race Retro Autos operates an online automotive marketplace through which users may advertise vehicles and related items for sale by classified advertisement and may also offer Lots for sale by online Auction.

Race Retro Autos is generally a platform and intermediary connecting Sellers and prospective Buyers. Unless a separate written agreement states otherwise, Race Retro Autos is not the owner or Seller of vehicles or other items advertised by users.

The contract for the sale of a vehicle or other item advertised by a Seller is generally between the Seller and Buyer. Race Retro Autos may provide additional services such as payment administration, inspection, transport coordination or auction administration under separate terms.

Different rules apply to Classified Listings and Auctions. The relevant sections of these Terms & Conditions apply according to the service being used.

2. REGISTRATION AND USER ACCOUNTS

A user may be a private individual or a legal entity acting through an authorised representative. Users must provide accurate, complete and current information.

Users must be at least 18 years old to register, list a vehicle or bid in an Auction.

Users are responsible for keeping their login credentials secure and for activity carried out through their account. Suspected unauthorised use must be reported promptly.

False, misleading, fraudulent or unlawful information is prohibited.

Race Retro Autos may suspend or terminate an account where there is a reasonable basis to believe that these Terms & Conditions or applicable law has been breached.

3. CLASSIFIED LISTINGS

Classified Listings allow Sellers to advertise vehicles or other permitted items and allow prospective Buyers to contact Sellers or otherwise enquire about a Listing.

A Classified Listing is not an Auction and does not create a sale merely because a user views, saves, enquires about or expresses interest in the Listing.

Unless Race Retro Autos expressly provides a transaction or checkout facility for a Classified Listing, the Seller and Buyer are responsible for agreeing the purchase price, payment, delivery, collection and other sale conditions between themselves.

The Seller is responsible for the accuracy and completeness of the Listing, including the description, photographs, mileage, ownership information, history, specification, condition, location and any material defects that should be disclosed.

Race Retro Autos may edit, reject, suspend or remove a Listing where it is inaccurate, misleading, unlawful, offensive, fraudulent, infringing, unsafe or otherwise contrary to these Terms & Conditions.

Race Retro Autos does not guarantee that a Classified Listing will result in a sale or that any prospective Buyer or Seller is able or willing to complete a transaction.

4. BUYING THROUGH CLASSIFIEDS

Prospective Buyers should satisfy themselves as to the identity and reliability of the Seller and independently inspect and verify the vehicle or item before committing to purchase.

Buyers should verify title, ownership, vehicle identification numbers, mileage, service history, accident history, modifications, taxation, registration, roadworthiness and any other matters relevant to the purchase.

Race Retro Autos does not guarantee the accuracy of Seller-supplied information unless expressly stated otherwise.

Any sale between a private Seller and Buyer, or between a trader and consumer, is subject to the legal rules applicable to that transaction. Nothing in these Terms & Conditions removes mandatory statutory rights.

5. CLASSIFIED FEES AND SERVICES

Where a fee is charged for a Classified Listing or related service, the applicable price will be shown before the service is purchased.

Race Retro Autos may offer paid upgrades such as featured placement, extended listing periods or promotional services. These services do not constitute a guarantee of a sale.

Refunds, cancellations and renewal arrangements for paid classified services will be governed by the conditions displayed when the service is purchased, subject to mandatory law.

These Payment, Cancellation & Refund Terms apply to paid advertising and other services purchased through the Race Retro Autos website.

Race Retro Autos provides classified advertising and related automotive sales services for classic cars, race cars, rally cars, motorcycles, parts, equipment and other vehicles.

1. Advertising Products

Race Retro Autos currently offers a range of advertising products, which may include:

• Standard advertisements;

• Featured advertisements;

• Featured Plus advertisements;

• Bump Up services;

• Business and Trade advertising packages; and

• Commission Sale services.

The exact price, advertising period and features included in each package are displayed on the website at the time of purchase.

The advertising package selected by the customer determines the visibility, duration and promotional features included with the advertisement.

2. Prices

All prices are displayed in euros.

The applicable price is the price displayed at the time the customer places the order.

Where VAT is applicable, the price displayed at checkout will indicate the applicable VAT treatment.

Race Retro Autos reserves the right to change its prices for future purchases. A price change does not affect an order that has already been accepted and paid for.

3. Payment

Payment for online advertising products is made through Paytrail.

Available payment methods are displayed during checkout and may include online banking, card and mobile payment methods, depending on the payment options available through Paytrail.

The advertising service will normally be activated after successful confirmation of payment and after any required advertisement review or approval.

Race Retro Autos is responsible for the service purchased by the customer. Paytrail provides the payment processing service.

4. Advertising Period

The advertising period is determined by the advertising package purchased.

For example, based on the packages currently offered:

• Standard advertisements are visible for 6 months;

• Featured advertisements are visible for 12 months and receive Featured status for 3 months;

• Featured Plus advertisements are visible for 12 months and receive Featured status for 12 months;

• Bump Up is an additional promotional service applied to an existing advertisement.

The applicable advertising period and included features are shown to the customer before payment.

The advertising period does not automatically restart or extend because the customer edits an advertisement, changes its price or temporarily removes the advertisement.

5. Start of the Advertising Service

The advertising service begins when Race Retro Autos makes the purchased advertising service available to the customer, including where applicable when the advertisement is published, promoted or otherwise made available on the website.

The customer may request that an advertisement be published after payment. Unless another arrangement has been agreed, the advertising period begins when the advertisement is published.

6. Consumer Right of Withdrawal

If the customer is a consumer, the customer may have a statutory 14-day right of withdrawal from an online service contract.

Nothing in these terms limits any mandatory rights granted to consumers by Finnish or EU legislation.

If the customer has a statutory right of withdrawal, the customer may exercise that right through the withdrawal function provided by Race Retro Autos or by contacting Race Retro Autos using the contact details published on the website.

The withdrawal period and any exceptions to the withdrawal right are determined by applicable Finnish consumer protection legislation.

7. Advertising Service Started During the Withdrawal Period

If a consumer requests that the advertising service begins before the statutory withdrawal period has expired, Race Retro Autos may begin providing the service before the end of that period.

Where permitted by applicable law, the customer may be required to pay a proportionate amount for the service provided up to the time the customer exercises a valid right of withdrawal.

Where the legal requirements for losing the withdrawal right are fulfilled, the consumer may lose the right of withdrawal once the service has been fully performed.

Any required consent or acknowledgement concerning the early commencement of the service will be obtained during the purchasing process.

8. Cancellation Before the Advertising Service Begins

If a customer cancels an advertising purchase before Race Retro Autos has started providing the service, the cancellation will be handled according to the customer’s applicable statutory rights and these terms.

Where the customer has no statutory right of withdrawal, any cancellation and refund will be handled according to the terms of the advertising package purchased.

9. Cancellation After Publication

Once an advertisement has been published, the customer may request that it be removed.

Removal of an advertisement at the customer’s request does not automatically create a right to a refund for unused advertising time.

This does not affect any statutory consumer cancellation or refund rights that may apply.

10. Bump Up Purchases

A Bump Up is a promotional advertising service that moves an existing advertisement back into a more prominent position and may also result in additional promotional exposure as described on the website.

Once a Bump Up has been performed, the service is considered provided.

Where applicable law permits a consumer to withdraw from the purchase before the service is fully performed, the customer’s statutory rights remain unaffected.

A Bump Up that has already been fully performed is not refundable except where required by applicable law.

11. Featured Advertising

Featured advertising provides additional visibility compared with a Standard advertisement.

The specific benefits of Featured and Featured Plus advertising are those stated on the website at the time of purchase.

Race Retro Autos does not guarantee a particular number of views, enquiries, sales, search-engine rankings, social-media interactions or vehicle sales as a result of purchasing Featured advertising.

Social-media promotion is subject to the availability, policies and technical operation of the relevant social-media platforms.

12. Search Engine and Social Media Promotion

Where an advertising package includes search-engine optimisation, social-media publication or similar promotional activity, Race Retro Autos will use reasonable efforts to provide the stated promotional service.

Race Retro Autos does not guarantee:

• a particular position in search-engine results;

• a particular number of visitors or enquiries;

• a particular number of social-media views or interactions;

• that a third-party platform will publish or retain an advertisement; or

• that an advertisement will result in a sale.

Third-party platforms may change their algorithms, policies or functionality without notice.

13. Advertisement Rejection or Removal

Race Retro Autos reserves the right to reject, suspend or remove an advertisement that:

• contains unlawful content;

• contains misleading or materially inaccurate information;

• infringes intellectual-property or other rights;

• relates to goods or services that Race Retro Autos does not permit;

• violates the Race Retro Autos Advertising Terms;

• creates a security or legal risk; or

• otherwise conflicts with the purpose or rules of the website.

If an advertisement is rejected before the advertising service has started, Race Retro Autos will normally refund the amount paid, subject to any applicable statutory or contractual rights.

If an advertisement is removed because of a breach of the customer’s obligations or the Advertising Terms, the customer may not be entitled to a refund.

Mandatory consumer rights are not affected.

14. Business Customers

Customers purchasing advertising for business purposes are not generally covered by the Finnish consumer statutory withdrawal rules.

For business customers, cancellation and refund rights are therefore determined by the applicable agreement, advertising package and these terms.

Business customers purchasing a customised Trade or Business advertising package may be subject to additional terms agreed with Race Retro Autos before the service begins.

15. Commission Sale Service

Commission Sale is a separate service from the standard paid advertising products.

The commission payable for a Commission Sale is agreed with the customer before the vehicle is listed for sale.

As stated on the website, there is no commission charge if the vehicle does not sell.

The precise services provided, commission, responsibilities of the parties and other applicable terms may be confirmed separately with the customer.

Payment for a Commission Sale and any related services will be handled according to the separate agreement between Race Retro Autos and the customer.

16. Refunds

Where Race Retro Autos determines that a refund is due, the refund will normally be processed through Paytrail.

Refunds are normally returned to the same payment method used for the original transaction.

Race Retro Autos is responsible for initiating refunds relating to purchases made through the Race Retro Autos website.

Refund processing times may depend on the original payment method and the payment service provider.

17. Complaints and Cancellation Requests

Cancellation, withdrawal and refund requests should be sent to Race Retro Autos using the contact details published on the website.

A cancellation request should include, where applicable:

• customer’s name;

• email address;

• order or advertisement number;

• date of purchase; and

• the service or advertisement being cancelled.

Race Retro Autos will process valid cancellation and refund requests in accordance with applicable law and these terms.

18. Paytrail Payment Service Provider

Paytrail Plc acts as a collecting payment service provider and is an authorized payment institution.

Paytrail Plc will be shown as the recipient on your bank or credit card statement. Paytrail Plc will forward the payment to the merchant.

19. Statutory Rights

Nothing in these terms excludes, restricts or limits any mandatory rights that consumers have under applicable Finnish or European Union legislation.

If any provision of these terms conflicts with mandatory legislation, the applicable legislation takes precedence.

20. Acceptance of Terms

Before completing a paid purchase, the customer must be given an opportunity to review these terms and confirm acceptance of them.

By completing the purchase, the customer confirms that they have had the opportunity to read and accept the applicable terms.

For consumer purchases where the service is requested to begin during a statutory withdrawal period, any legally required express request, consent or acknowledgement will be obtained separately during checkout.

AUCTION DEFINITIONS

“Auction” means an online auction in which a Lot is offered for sale.

“Bidder” means a person who submits a bid for a Lot.

“Bid” means an offer submitted by a Bidder to purchase a Lot at the amount entered by the Bidder.

“Buyer” means the Bidder whose bid is accepted as the winning bid in accordance with the Auction rules, subject to applicable law.

“Lot” means a vehicle or other item offered for sale by Auction.

“Seller” means the person or legal entity offering a vehicle or other item for sale.

“Hammer Price” means the successful bid amount, excluding any Buyer’s Premium, taxes or other charges unless stated otherwise.

“Reserve” means the minimum price agreed for a Lot below which the Lot will not be sold.

“Buyer’s Premium” means the commission payable by the Buyer to Race Retro Autos for the Auction service.

“Seller’s Commission” means the commission payable by the Seller to Race Retro Autos for the Auction service.

“Website” means www.raceretroautos.com.

1. AUCTION LISTINGS AND LOT DESCRIPTIONS

Information published for an Auction may include photographs, videos, descriptions, estimates, mileage, specifications, documents and Seller statements.

Seller-supplied information is not independently verified by Race Retro Autos unless the Listing expressly says that a particular item has been inspected or verified.

Prospective Buyers are strongly encouraged to inspect the Lot personally or appoint an independent representative before bidding.

Classic, historic, competition and used vehicles may have age-related wear, modifications, previous repairs, restoration work, defects or other characteristics that differ from a modern vehicle.

A Bidder is responsible for satisfying themselves before bidding as to condition, authenticity, history, specification, mileage, legality, roadworthiness and suitability, subject to mandatory legal rights.

2. AUCTION BIDDING

Each Bid must be submitted through the Auction system in accordance with the rules displayed for that Auction.

A Bid is intended to be binding. Before bidding, the Bidder must check the Lot, bid amount, Buyer’s Premium, taxes and other applicable charges.

Where a Reserve applies, the Lot will not be sold below the Reserve unless the Seller agrees otherwise.

Race Retro Autos may reject, cancel or correct a Bid where there is a technical error, obvious mistake, suspected manipulation, fraud, breach of these Terms & Conditions, legal requirement or other exceptional circumstance affecting the integrity of the Auction.

Users must not engage in shill bidding, collusion, bid manipulation, false bidding or any attempt to artificially increase a Lot’s price.

3. BUYER’S PREMIUM AND AUCTION PAYMENT

Unless different terms are displayed for a particular Auction, the Buyer’s Premium is 6% + vat of the Hammer Price (min. 600€ – max 7000€) and deducted instantlly from the credit card supplied.

The Buyer’s Premium is a platform/service charge separate from the Hammer Price. Any applicable VAT or other tax will be charged where required by law.

Following a successful Auction purchase, the Buyer must pay the Hammer Price in accordance with the invoice, normally with the balance due within 7 days unless different Auction-specific terms apply.

Payments may be processed by a third-party payment provider such as Stripe. Race Retro Autos does not intend to store full card details where the payment provider processes the transaction.

If the Buyer fails to pay on time, Race Retro Autos and/or the Seller may exercise rights available under the applicable contract and law, including cancellation or resale and recovery of reasonable losses and costs where legally recoverable.

4. SELLER COMMISSION FOR AUCTIONS

Unless different terms are agreed in writing, the Seller’s Commission is negotiated case-by-case.

The applicable commission and VAT treatment will be stated in the Seller agreement or Auction-specific terms.

If a sale fails because of a Buyer’s breach, Race Retro Autos may seek recovery of the commission and reasonable costs that would otherwise have been payable, to the extent permitted by the applicable agreement and law.

5. CONDITION, WARRANTIES AND MANDATORY RIGHTS

Unless a specific warranty is expressly stated, Race Retro Autos does not provide a voluntary warranty for a vehicle or item advertised by a user.

Nothing in these Terms & Conditions excludes or limits liability, warranty, statutory remedy or consumer right that cannot lawfully be excluded or limited.

Where a Seller is a trader and the Buyer is a consumer, mandatory consumer protection legislation applies. Where both parties are private individuals, the legal rules applicable to private sales apply.

A statement that a vehicle is sold “as seen” or “with all faults” does not remove mandatory legal rights.

Vehicles may not be roadworthy, registered, insured or legally usable on public roads. Buyers are responsible for confirming requirements applicable to intended use.

6. SALE, COLLECTION AND TRANSPORT

Unless otherwise agreed, the Buyer is responsible for arranging and paying for collection and transport after purchase.

Race Retro Autos may assist with obtaining transport quotations from third-party providers. A quotation is not a guarantee of final cost, delivery date or condition unless expressly stated.

Buyers should arrange appropriate transport insurance and check the carrier’s terms.

Buyers are responsible for applicable import, export, customs, registration and tax requirements unless a separate written agreement states otherwise.

Where a vehicle is collected from a Seller, the Buyer should inspect it before removal where reasonably possible and promptly report any material discrepancy.

7. VAT AND TAXES

VAT treatment depends on the Seller, transaction and applicable tax rules. The applicable treatment will be stated on the Listing or invoice where required.

Where the VAT margin scheme applies, the transaction will be invoiced in accordance with the applicable margin-scheme rules.

VAT rates may change. No fixed VAT rate stated in these Terms & Conditions overrides the rate legally applicable at the time of the transaction.

Buyers are responsible for applicable taxes, duties, customs charges, registration charges and government fees unless otherwise required by law or agreed in writing.

8. OVERSEAS BUYERS

Overseas Buyers must check import restrictions, permits, customs procedures, taxes, inspections and registration requirements in the destination country.

Race Retro Autos may provide general information or introduce third-party providers but does not guarantee that a vehicle can be imported, registered or used in a particular country unless expressly agreed in writing.

Buyers should use appropriate freight-forwarding and customs services for international shipments.

9. DATA PROTECTION AND COMMUNICATIONS

Personal data will be processed in accordance with Race Retro Autos’ Privacy Policy and applicable data-protection law.

Information may be shared with payment providers, transport providers, inspection providers, advisers or authorities where reasonably necessary to operate the service, complete transactions, prevent fraud or comply with law.

Marketing communications will be handled in accordance with applicable law and user preferences.

10. LIABILITY AND PLATFORM ROLE

Race Retro Autos generally provides a platform and facilitation service and is not responsible for the accuracy of user-generated Listings or for the Seller’s ability to complete a transaction, except where liability is imposed by law or Race Retro Autos has separately agreed to provide a relevant service.

Nothing in these Terms & Conditions excludes or limits liability that cannot lawfully be excluded or limited.

Race Retro Autos is not responsible for losses caused solely by circumstances outside its reasonable control, including third-party platform failures, telecommunications failures, transport delays, acts of public authorities, natural events or other force majeure events.

11. COMPLAINTS AND DISPUTES

Complaints should first be raised with Race Retro Autos using the contact details published on www.raceretroautos.com.

The legal rights and remedies of consumers are not affected by this complaints procedure.

The governing law and jurisdiction applicable to a particular transaction will be determined by the applicable contract and mandatory law. Consumers retain any mandatory protections available under applicable law.

12. GENERAL

If any provision is invalid or unenforceable, the remaining provisions continue to apply to the extent permitted by law.

A failure or delay to exercise a right does not constitute a waiver.

These Terms & Conditions operate together with the relevant Classified Listing information, Auction information, invoice and any separate written agreement.
